We may provide the ability to use certain functionalities of the Site or provide services of various kinds (the "Services"). The Site and Services are made available to you only under the following terms and conditions (the "Terms").

BY USING THE SITE OR SERVICES, YOU ACKNOWLEDGE AND REPRESENT THAT (i) YOU HAVE READ THESE TERMS, (ii) UNDERSTAND THEM, (iii) AGREE TO BE BOUND BY THEM, AND (iv) YOU ARE AT LEAST 18 YEARS OLD. IF YOU DO NOT MEET ALL OF THESE REQUIREMENTS OR DO NOT AGREE TO OR VIOLATE ANY OF THE TERMS BELOW, YOU MUST NOT ACCESS OR USE THE WEBSITE.

I. ACCESS TO SERVICE

A. Accounts In order to use certain features of the Site or Services, you may be required to register for an account with Company (“Account”) and provide certain information about yourself. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; and (b) you will maintain the accuracy of such information. You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account.

B. Access to Features of Online Services Subject to these Terms, we grant you a limited, non-exclusive, nontransferable personal license to access and use the Site and Services.

C. General Restrictions on Use The rights granted to you by these Terms will remain in force only for so long as these Terms remain in effect. You may not rent, transfer, assign, commercially exploit, resell or sublicense access to the Service to any third-party. You may use the Site and the Services only for your personal, non-commercial purposes.

D. Use of Third-Party Offerings You may be able to access websites, content, products or services provided by third-parties through links made available on the Site. We refer to all such websites, content, services and products as “Third-Party Offerings.” We are not responsible for any such Third-Party Offerings.

E. Ownership All content of the Site is owned by or licensed to Company and is protected by applicable copyright and intellectual property laws. Any unauthorized use is prohibited.

II. USER CONTENT

A. User Content “User Content” means any and all information and content that a user submits to, or uses with, the Site or Services (e.g., content in the user’s profile, photographs, reviews, or other postings). You are solely responsible for your User Content and assume all risks associated with it. You represent and warrant that your User Content complies with these Terms and the Acceptable Use Policy (Section II.C). You may not imply that your User Content is endorsed by the Company. We are not obligated to back up any User Content and it may be removed at any time. You are responsible for keeping your own backup copies if desired.

B. License By submitting User Content, you grant Wild Life Adventures Ltd. an irrevocable, non-exclusive, royalty-free, fully paid, worldwide license to reproduce, distribute, publicly display, perform, create derivative works of, and otherwise use your User Content (including you or your child’s name, image, or likeness) in connection with the Site, Services, our marketing materials, and other products. You waive all moral rights or rights of attribution in your User Content.

C. Acceptable Use Policy You agree not to submit or use User Content that: (i) violates any third-party rights, including copyright, trademark, or privacy rights; (ii) is illegal, abusive, threatening, defamatory, misleading, obscene, or otherwise objectionable; (iii) attempts to exploit or harm minors; (iv) violates any laws or regulations; (v) includes viruses, malware, or harmful code; (vi) constitutes spam or unauthorized promotional material; or (vii) falsely implies association with the Company or others.

D. Enforcement We may review, remove, or act against User Content that violates these Terms or creates legal risk. We may suspend or terminate user accounts or notify law enforcement as needed.

E. Other Users We do not control User Content submitted by others and are not responsible for its accuracy or suitability. You assume all risk when interacting with other users. We are not obligated to mediate disputes between users.

III. TERMS AND CONDITIONS OF SALE

A. Product Disclaimers

B. Products

and Pricing Products and prices may change without notice. Company reserves the right to correct any pricing errors before or after accepting an order.

C. Orders

Your order is an offer to purchase, not a contract. Company may accept or reject any order at its discretion. Orders can be placed via MarketTime, through an authorized rep, or by emailing orders@jointhewildlife.ca. For assistance, contact us at +1 888-564-3546 (Mon - Fri 9am - 4pm MST).

D. Minimum Order Value (Wholesale)

For first-time wholesale customers, the minimum order value is $300 USD or $400 CAD.

E. MAP Pricing

Our Minimum Advertised Price (MAP) policy allows accounts to offer discounts no greater than 10% below the MSRP (calculated as: wholesale cost x 2 - $0.01). First-time violations will result in a 6-month suspension from ordering. A second violation will result in permanent termination of the wholesale account. Unresolved violations may result in a fine up to $2000 per SKU.

F. Wholesale Pricing

All prices are listed in US dollars. Prices are subject to change without notice.

G. Merchandise Credit

All credit requests must be made within 7 days of delivery. Include your invoice number and reason for the request. Merchandise returns require prior written approval. If requested, items must be returned in reasonable condition.

H. Payment Terms

We accept MasterCard, Visa, Discover, American Express, and EFT payments. Credit card payments do not incur merchant fees. Payment is due upon receipt unless other terms are arranged.

I. Shipping Terms

Shipping is not included in product cost and is EXW. We ship via USPS, Canada Post, UPS, or FedEx and select the most economical method unless otherwise directed. Customers may use their own shipping account at their own expense.

J. Return Policy

(i) Returns are accepted within 14 days of shipment, unless otherwise noted. Approved returns will be processed within 5 business days. Shipping costs are non-refundable. (ii) No exchanges. (iii) Damaged Products may be returned for a full refund if verified by Company. (iv) All returns must follow instructions provided by our support team.

K. Promotions

Promotions and discounts may not be combined. Refer to the specific offer's terms and conditions.

IV. DISCLAIMERS, LIMITATIONS AND EXCLUSIONS OF LIABILITY

LIABILITY DISCLAIMER

To the maximum extent permitted by applicable law, in no event shall Wild Life Adventures Ltd., its members, service providers, employees, agents, or officers be liable to any party for any direct, indirect, punitive, incidental, special, or consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data, or profits, arising out of or in any way connected with the use or performance of the Site or the delay or inability to use the Site or related services, or the provision of or failure to provide services, or for any information, products, and services obtained through the Site, or otherwise arising out of the use of the Site, whether based on contract, tort, negligence, strict liability or otherwise, even if advised of the possibility of damages. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

The above limitation of liability does not apply to liability resulting from our gross negligence or willful misconduct or to death or bodily injury caused by defective products you purchase through the Site.

If you are dissatisfied with any portion of the Site or Services, or with any of these Terms of Use, your sole and exclusive remedy is to discontinue using the Site or Services.
